Terms of Service

Tryuu provides technology that enables participating businesses to create and distribute invitations to eligible users.

Businesses determine the terms of their invitations, including availability, eligibility requirements, dates, times, locations, and other applicable conditions.

Users may discover invitations through the Platform, RSVP to eligible invitations, receive confirmation, and visit participating businesses.

Tryuu facilitates connections between businesses and users. Participating businesses are independent third parties unless expressly identified otherwise.

Tryuu does not own, operate, control, or manage participating businesses and does not guarantee the availability, quality, safety, legality, accuracy, or outcome of any business, invitation, product, service, or visit.

You must satisfy all age, legal, and other eligibility requirements applicable to your use of the Platform.

You agree to provide information that is accurate, complete, and current and to maintain the accuracy of that information.

Certain invitations, features, or services may be subject to additional eligibility requirements.

Tryuu may refuse registration, restrict participation, suspend accounts, or terminate access where permitted by applicable law.

Certain features of the Platform require an account.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

You must promptly notify Tryuu if you believe your account has been accessed or used without authorization.

Tryuu may require additional information or verification where reasonably necessary to protect the Platform, its users, participating businesses, or the integrity of the Platform.

An invitation is an opportunity made available by a participating business through the Platform.

The availability, eligibility requirements, timing, location, terms, and other conditions of an invitation may vary.

An RSVP does not constitute a purchase unless expressly stated otherwise.

By submitting an RSVP, you confirm that the information you provide is accurate and that you intend to participate in accordance with the applicable invitation terms.

Tryuu may limit, cancel, modify, or revoke an RSVP where reasonably necessary to enforce eligibility requirements, prevent fraud or abuse, address operational issues, or protect the Platform and its community.

Participating businesses are responsible for the invitations and information they provide through the Platform.

Businesses must ensure that:

• Invitation information is accurate and current;
• Invitations are honored in accordance with their stated terms;
• Products and services are provided as represented;
• Users are treated lawfully and respectfully;
• Their operations comply with applicable laws and regulations; and
• They maintain all licenses, permits, insurance, and authorizations required for their activities.

Tryuu may review, modify, restrict, suspend, or remove business content, invitations, or accounts where we determine that such action is necessary or appropriate.

You agree to use the Platform lawfully and in accordance with these Terms.

You may not:

• Provide false, misleading, or fraudulent information;
• Manipulate invitations, RSVPs, eligibility systems, or Platform functionality;
• Create accounts for deceptive or unauthorized purposes;
• Reserve invitations you do not reasonably intend to attend;
• Circumvent participation limits or eligibility requirements;
• Interfere with the operation, security, or integrity of the Platform;
• Attempt to gain unauthorized access to accounts, systems, or data;
• Harass, threaten, defraud, or harm another person or business; or
• Use the Platform for unlawful purposes.

Tryuu may take appropriate action in response to violations, including restricting or terminating access to the Platform.

Maintaining the security, integrity, and quality of the Platform is fundamental to Tryuu.

Subject to applicable law, Tryuu may:

• Monitor activity on the Platform;
• Investigate suspected misuse, fraud, or violations;
• Verify accounts and information;
• Remove or modify content;
• Restrict invitations or RSVPs;
• Suspend or terminate accounts;
• Restrict access to Platform features; and
• Take other actions reasonably necessary to protect the Platform, its users, and participating businesses.

We may take such action with or without prior notice where permitted by law.

You retain ownership of content you submit to Tryuu.

By submitting content to the Platform, you grant Tryuu a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, translate, publish, distribute, display, perform, and otherwise use that content for the purposes of operating, providing, improving, developing, promoting, and protecting the Platform and Tryuu's business.

You represent that you have all rights necessary to submit the content and grant the license described above.

Tryuu may remove or restrict content that violates these Terms, applicable law, or our policies.

The Platform and its technology, software, designs, trademarks, logos, service marks, interfaces, databases, systems, content, and other materials are owned by or licensed to Tryuu and are protected by applicable intellectual property laws.

Except as expressly permitted by Tryuu or applicable law, you may not copy, reproduce, distribute, modify, reverse engineer, extract, exploit, or create derivative works from any portion of the Platform or its underlying technology.

Nothing in these Terms grants you ownership of Tryuu's intellectual property.

Participating businesses are independent third parties.

Tryuu does not control their operations, employees, products, services, facilities, policies, or conduct.

Any relationship formed between a user and a participating business is between those parties. Tryuu may provide technology, tools, and support to facilitate those interactions but does not assume responsibility for the independent acts or omissions of participating businesses.

Tryuu is designed to help businesses create opportunities for real-world customer visits.

Business outcomes depend on factors beyond Tryuu's control. Accordingly, Tryuu does not guarantee that an invitation will result in a purchase, customer relationship, repeat visit, revenue, profit, or any other particular business outcome.

To the maximum extent permitted by applicable law, the Platform is provided on an “as is” and “as available” basis.

Tryuu does not represent or warrant that:

• The Platform will be continuously available or uninterrupted;
• Platform information will always be complete, accurate, or current;
• Invitations will remain available;
• Participating businesses or users will perform as expected;
• Visits will occur as scheduled; or
• Use of the Platform will produce any particular result.

Nothing in these Terms excludes any warranty, representation, or right that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Tryuu Platforms Inc. and its affiliates, directors, officers, employees, contractors, licensors, service providers, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising from or relating to the Platform or these Terms.

To the maximum extent permitted by applicable law, your use of the Platform is at your own risk.

Nothing in these Terms limits liability that cannot legally be limited or excluded.

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Tryuu Platforms Inc. and its affiliates, directors, officers, employees, contractors, licensors, service providers, and representatives from claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or relating to:

• Your use of the Platform;
• Your violation of these Terms;
• Your violation of applicable law or third-party rights; or
• Content or information you submit to the Platform.

Your use of the Platform is also governed by the Tryuu Privacy Policy, which describes how we collect, use, disclose, retain, and protect personal information.

By using the Platform, you acknowledge that you have reviewed the Privacy Policy.

Tryuu continuously develops and improves the Platform.

We may introduce, modify, suspend, or discontinue features, services, functionality, or portions of the Platform at any time, subject to applicable law.

We do not guarantee that any particular feature or service will remain available.

We may update these Terms from time to time.

When we make material changes, we may provide notice through the Platform, by email, or by other appropriate means.

Updated Terms become effective on the date specified in the updated Terms.

Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

You may stop using the Platform at any time.

Tryuu may suspend or terminate your account or access to the Platform where permitted by applicable law, including where we reasonably believe that you have violated these Terms, engaged in fraudulent or abusive conduct, created a security or safety risk, or otherwise compromised the integrity of the Platform.

Provisions that by their nature should survive termination will remain in effect.

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles.

Subject to applicable law, you agree that the courts located in British Columbia, Canada will have exclusive jurisdiction over disputes arising from or relating to these Terms or your use of the Platform.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Tryuu's failure to enforce any provision of these Terms does not constitute a waiver of that provision.

These Terms constitute the entire agreement between you and Tryuu regarding your use of the Platform and supersede prior agreements concerning the same subject matter, except where expressly stated otherwise.

You may not assign or transfer your rights or obligations under these Terms without Tryuu's prior written consent. Tryuu may assign or transfer its rights and obligations in connection with a merger, acquisition, corporate reorganization, sale of assets, or other business transaction.
